Authorised Retailer Agreement

This is a distribution agreement for an authorised retailer. The agreement is suitable for small retailers who would operate one or two outlets.

The agreement first appoints the retailer as an authorised retailer within the network and then ties the retailer to obtain products only from members of the network and sell products only to members of the network and to end users. The appointer then binds himself only to sell within the network. The retailer is then obliged to keep records of all his sales and purchases of the products. The agreement then moves on to deal with the assistance the appointor is to give the retailer by way of sales and technical training, and publicity and promotional material. It then sets out provisions preventing assignment, and deals with termination.
